Agreement to Terms

By accessing or using Lucidant ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Lucidant ("we", "our", or "us").

Eligibility

You must be at least 18 years old or an employed adult to use Lucidant. By using our Service, you represent and warrant that you meet this eligibility requirement. Lucidant is a business productivity tool designed for professional use. We do not knowingly provide services to individuals under 18 years of age.

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

Your Content and Data

You retain ownership of all content you create in Lucidant, including tasks, notes, pages, and projects ("User Content"). By using the Service, you grant us a limited license to:

  • Store, process, and display your User Content to provide the Service
  • Create backups to protect against data loss
  • Analyze anonymized, aggregated usage patterns to improve the Service

We will not access, use, or share your User Content except as necessary to provide the Service, comply with legal obligations, or with your explicit consent.

Organization Accounts

If you use Lucidant as part of an organization, your organization administrator may have the ability to access, restrict, or remove your account and associated data. Your use of Lucidant is also subject to your organization's policies. In the context of organization accounts, Lucidant acts as a data processor on behalf of your organization (the data controller).

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or its infrastructure
  • Use automated tools to scrape or collect data without permission
  • Impersonate another person or entity
  • Store protected health information (PHI), payment card data, or other regulated sensitive data without appropriate controls

Prohibited Content

You may not store or share content that:

  • Is illegal, threatening, defamatory, or obscene
  • Promotes violence, discrimination, or hatred
  • Contains child sexual abuse material (CSAM)
  • Infringes on copyrights, trademarks, or other intellectual property

We reserve the right to remove any content that violates these Terms and to terminate accounts that repeatedly violate these provisions.

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Lucidant and are protected by copyright, trademark, and other intellectual property laws. Our name, logo, and brand features may not be used without our prior written consent.

Third-Party Services

The Service may integrate with or contain links to third-party services (such as authentication providers). We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUCIDANT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless Lucidant and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

Termination

You may terminate your account at any time through the Settings page. We may terminate or suspend your account immediately, without prior notice, if:

  • You breach these Terms
  • We are required to do so by law
  • We discontinue the Service

Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We may retain certain information as required by law or for legitimate business purposes.

Governing Law and Disputes

These Terms shall be governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
